Terms of service.

Last updated: October 6, 2026

These terms govern the services provided by AWARENEXT LLC (“Awarenext”, “we”) to its clients (“you”) and the use of awarenext.co. Each engagement is also described in a written quote or statement of work, which prevails over these terms where they differ.

1. Services

Build: creation of e-commerce brands and online stores (positioning, identity, store design and development, product pages, checkout and tracking, launch creatives).

Scale: growth management of existing stores (media buying on advertising platforms, creative production, conversion optimisation, email and SMS, offers, operations).

Audits and advisory: reviews of stores, advertising accounts and economics, with recommendations.

Our services are intended for businesses and professionals. Products sold on the stores we operate are governed by each store's own terms and policies.

2. Quotes and orders

Every engagement starts with a written quote stating the scope, deliverables, timeline, price and payment schedule. Quotes are valid for 30 days.

The contract is formed when you accept the quote in writing (signature or email) and pay the first instalment due.

3. Prices and currency

Prices are stated in US dollars (USD) or euros (EUR) as shown on the quote, excluding taxes. Applicable taxes (such as sales tax or VAT) are added where required by law.

Prices shown on this website are indicative starting prices; only the written quote is binding.

Third-party costs (platform subscriptions such as Shopify, apps, stock, shipping and advertising budgets) are not included. They are paid by you directly to the providers concerned, unless the quote expressly states otherwise.

4. Payment

Build projects: 50% deposit on acceptance of the quote, balance on delivery before transfer of the deliverables.

Retainers: invoiced monthly in advance. Audits: payable in full on order.

Accepted methods: bank card and other methods offered by our payment service providers (such as Stripe or PayPal), and bank transfer. Invoices are payable within 7 days unless stated otherwise.

In case of late payment, we may suspend the services after written notice of 15 days. Late amounts bear interest at the lower of 1% per month or the maximum rate permitted by law.

5. Your commitments

You provide the content, information, approvals and access we need, in time, and confirm that you hold the rights to the materials you supply.

You remain responsible for your products, their compliance and safety, the claims made about them, and for compliance with the rules of the platforms and payment providers you use. Advertising accounts belong to you and advertising budgets are paid by you directly to the platforms.

6. Delivery and acceptance

Deliverables are considered accepted 10 business days after delivery unless you send us reasoned written objections within that time. The number of revision rounds is stated in the quote.

7. Duration and termination

Retainers start with an initial term of three months, then renew month to month. Either party may end them with 30 days' written notice after the initial term.

Either party may terminate a contract for a material breach that is not remedied within 15 days of written notice. Work performed until termination remains payable.

8. Cancellation and refunds

Cancellations and refunds are governed by our refund policy, which forms part of these terms.

9. Results

We commit to diligent, professional work, to agreed targets and to transparent reporting. Sales, advertising performance and growth depend on factors outside our control (product, pricing, market, budgets, platform decisions); we therefore do not guarantee any specific revenue, return on ad spend or result.

10. Intellectual property

Once paid in full, the deliverables created specifically for you are assigned to you. We keep ownership of our pre-existing know-how, methods, tools and templates, and grant you a licence to use those embedded in your deliverables.

Unless you object in writing, we may mention your name and show non-confidential work in our portfolio.

11. Confidentiality

Each party keeps confidential the non-public information received from the other during the engagement and for two years after it ends.

12. Liability

To the extent permitted by law, our total liability under a contract is limited to the fees you paid us under that contract in the six months preceding the event giving rise to the claim, and we are not liable for indirect losses such as loss of profit, revenue or data. Nothing in these terms limits liability that cannot be limited by law.

13. Use of AI tools

We may use artificial-intelligence tools to assist in research, copywriting and visual production. Every output is reviewed by our team before delivery, and you remain free to request human-only production for specific deliverables, as stated in the quote.

14. Partners programme

Information published about co-investment in our brands is general information only and is not an offer to sell, or a solicitation to buy, any security or financial product. Any participation is proposed privately to eligible persons and is governed exclusively by a separate written agreement. No funds are accepted through this website.

15. Force majeure

Neither party is liable for a delay or failure caused by events beyond its reasonable control. Obligations resume as soon as the event ends.

16. Personal data

Personal data is processed as described in our privacy policy.

17. Governing law and disputes

These terms are governed by the laws of the State of New Mexico, United States. The parties will first seek an amicable solution for 30 days; failing that, the state and federal courts located in Bernalillo County, New Mexico, have jurisdiction.

If you are a consumer, you also keep the protection of the mandatory rules of your country of residence.
